Terms of Service

These Terms of Service ("Terms") govern your access to and use of the EventNation website, contract review service, and Planner Network (together, the "Service"), provided by EventNation-Gotchafinder Inc. ("EventNation," "we," "our," or "us"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

These Terms incorporate our Privacy Policy by reference.

1. The Service

EventNation provides an AI-assisted tool that reviews hotel and venue contracts, identifies and flags clauses that may carry risk (such as attrition, cancellation, food-and-beverage minimum, and similar provisions), and generates a marked-up document you can use in your own negotiations. EventNation also offers the Planner Network, an optional peer-intelligence feature described in Section 5.

2. Eligibility and Accounts

You must be at least 18 years old and able to form a binding contract to use the Service. You agree to provide accurate registration information and to keep it current. You are responsible for activity under your account and for keeping your credentials secure. Notify us promptly of any unauthorized use.

3. Your Content and the Rights You Grant

"Your Content" means the contracts and other documents and information you submit to the Service.

You retain ownership of Your Content. You grant EventNation a non-exclusive, worldwide license to host, process, and analyze Your Content solely to provide and improve the Service, including processing through the service providers identified in our Privacy Policy. Where you contribute to the Planner Network, the additional license in Section 5 applies.

You represent and warrant that, for each document you submit, you have the right to submit it to the Service and to have it processed as described in these Terms and the Privacy Policy, and that doing so does not violate any confidentiality obligation, contract, or law binding on you.

4. AI Output Is Informational — Not Legal Advice

This is the most important thing for you to understand about the Service.

The Service uses automated and AI-based analysis. Its output is informational only. It is not legal advice, and EventNation is not a law firm and does not provide legal services. The Service does not create an attorney-client relationship.

The Service may not identify every risk in a contract, may flag items that are not in fact problematic, and may make errors. You should not rely on the Service as a substitute for review by a qualified attorney. Any decision you make about a contract — including whether to sign it — is yours, and you are responsible for it. EventNation's severity ratings reflect a standardized, automated assessment and are not a representation about any particular venue.

5. Planner Network

5.1 What it is

The Planner Network aggregates de-identified data derived from members' contract reviews so that verified event professionals can see patterns in how venues negotiate. Membership and access are described in the Privacy Policy.

5.2 Contribute-to-access

Access to view the Network requires contributing your review data. You may exclude any individual contract from contribution before it is shared. Excluding more than three contracts, if not due to confidentiality-required exclusions, in a rolling twelve-month period may result in suspension of viewing access; you may appeal to [email protected].

5.3 Your representations when you contribute

For each contract you contribute (i.e., do not exclude), you represent and warrant that: (a) you have the right to disclose the information contributed, and doing so breaches no confidentiality obligation or other agreement binding on you; and (b) the contract information you submit is accurate and unaltered.

5.4 License for contributed data

You grant EventNation a non-exclusive, worldwide, royalty-free license to use, reproduce, aggregate, and display the de-identified, contributed data within the Network and to make it available to other verified members. This license survives termination as to data already contributed, but does not extend to any contract you excluded.

5.5 Acceptable use of Network data

Network data is provided to members for their own professional decision-making. You agree not to republish, resell, or distribute Network data outside the Network, and not to use it to harass or defame any venue. The data reflects member-submitted information and EventNation's automated assessments; it is not a recommendation to use or avoid any venue.

5.6 Nature of Network ratings

The Network is displayed to members beneath the following notice, which governs how the information is to be understood:

EventNation's severity ratings are opinions based on the disclosed contract details shown alongside them, produced by a consistent, standardized methodology applied identically to every contract reviewed. They are not assertions of undisclosed fact about any venue.

6. Indemnification

You agree to indemnify, defend, and hold harmless EventNation and its officers, employees, and agents from any claim, loss, liability, or expense (including reasonable attorneys' fees) arising out of: (a) Your Content or any document you submit or contribute; (b) your breach of the representations in Sections 3 and 5; (c) your violation of these Terms or any law; or (d) any claim by a third party (including a venue) relating to data you contributed to the Network.

7. Fees and Payment

Paid plans are billed as described at purchase. Payments are processed by Stripe; by purchasing you also agree to Stripe's terms.

8. Intellectual Property

The Service, including its software, design, and the EventNation name and logo, is owned by EventNation and protected by intellectual property laws. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service; they do not transfer any ownership to you.

9. Disclaimer of Warranties

The Service is provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that it will identify every risk in any contract.

10. Limitation of Liability

To the maximum extent permitted by law, EventNation will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or lost data, arising from your use of the Service. EventNation's total liability for any claim relating to the Service will not exceed the greater of the amount you paid us in the twelve months before the claim, or US $100.

11. Term and Termination

You may stop using the Service and close your account at any time. We may suspend or terminate your access if you breach these Terms or to protect the Service or other users. Sections that by their nature should survive termination — including Sections 3, 5.4, 6, 9, 10, and 12 — survive.

12. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. All users must agree to binding arbitration in the State of Delaware. No class actions will be eligible for this arbitration; individual actions only will be considered for arbitration.

13. Changes to These Terms

We may update these Terms from time to time. We will post the updated Terms and revise the "Last updated" date, and where required will provide additional notice. Your continued use of the Service after changes take effect constitutes acceptance.
